These Terms of Service (“Terms”) govern your access to and use of the Ulka ERP platform and website provided by Ulka (“Ulka”, “we”, “us”). By creating an account or using the service, you agree to these Terms. If you use the service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization.
“Service” means the Ulka ERP application, website and related features. “Organization” means the tenant workspace you create to run your business. “User” means an individual you authorize to access an Organization. “Business Data” means the data you and your Users enter into or upload to the Service. “Launch Offer” means the founding offer described below.
You must be able to form a binding contract and not be barred from using the service under applicable law. You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly at support@ulkaerp.com if you suspect unauthorized use.
You can create an Organization, invite Users, and assign them roles with specific permissions. The Organization owner is responsible for managing access and for the actions of its Users. Subject to your plan’s limits, you may run more than one Organization or branch under your account, each with its own settings and isolated data.
The first 100 eligible businesses to create and verify an Organization receive 12 months free. Eligibility is determined and enforced on our servers, so the count is applied fairly. No credit card or payment information is required to claim the Launch Offer. Once the 100 places are claimed, standard terms apply to new sign-ups. Nothing is charged automatically, and we never request payment details unless you explicitly choose a paid plan.
You can request a plan change or cancellation from your account, and plan changes take effect when approved. We do not currently process payments through the Service, and we will not collect card or payment details unless and until you explicitly choose a paid plan where one is offered. Any paid plan and its terms will be described clearly at the point of selection. Nothing is charged automatically.
You retain ownership of your Business Data. You grant Ulka a limited, non-exclusive license to host, store, process and display your Business Data solely to operate the Service and to provide the features you use, including AI features that run over your own data. You are responsible for your Business Data, including having the rights and any consents needed to upload and process it, and for its lawfulness.
The Service includes AI features that operate over your Business Data to assist you. AI output can be incomplete or inaccurate and does not constitute professional advice, including legal, tax, accounting or financial advice. You are responsible for reviewing AI output and for any decision you make based on it. Do not rely on AI output as your sole basis for a material decision without independent verification.
You agree to use the Service lawfully and not to: attempt to breach security or tenant isolation, or access another Organization’s data; disrupt, overload or interfere with the Service; reverse engineer or attempt to derive source code except to the extent permitted by law; upload unlawful, infringing, harmful or malicious content, including malware; use the Service to violate the privacy or rights of others; or resell or provide the Service to third parties except as expressly permitted.
The Service relies on third-party providers such as hosting, email delivery and AI model providers, and it may interoperate with services you separately connect. Their availability and terms may affect the Service. We are not responsible for third-party services that we do not control, and your use of any service you connect is governed by that service’s terms.
Ulka and its licensors own all rights in the platform, software, and Ulka brand. These Terms do not transfer any intellectual property to you other than the limited right to use the Service. If you send us feedback or suggestions, we may use them without restriction or obligation to you.
We work to provide a reliable Service and reasonable support, but we do not guarantee that the Service will be uninterrupted, timely, secure or error-free. We may perform maintenance, and we may update, modify or discontinue features, which can occasionally affect access.
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Ulka disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Service will meet your requirements or that results obtained from it will be accurate or reliable.
To the maximum extent permitted by law, Ulka will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the claim, or, where the Service was provided at no charge, a nominal amount. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify and hold Ulka harmless from claims, damages and expenses arising out of your Business Data, your use of the Service, or your breach of these Terms or of applicable law.
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, or where necessary to protect the Service, its users or third parties. On termination, your Business Data is handled in accordance with our Privacy Policy, and you may request an export before or shortly after termination.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, United States, and applicable United States federal law, without regard to conflict-of-laws rules. The state and federal courts located in Delaware will have jurisdiction over disputes arising from these Terms, except where mandatory consumer-protection law in your place of residence provides otherwise.
